1. ACCEPTANCE OF TERMS

By accessing or using any services offered by The Coding Collective (hereinafter “TCC”), including but not limited to the Developer Success Program, Digital Products, consulting services, and associated platforms, you (“User” or “Customer”) agree to be bound by these Terms and Conditions (“Agreement”).

If you do not agree to these terms in their entirety, you are not authorized to use our services.


2. SERVICES OFFERED

2.1 Developer Success Program

The Developer Success Program is a personalized mentorship service that includes:

  • Personalized Mentorship: One-on-one guidance from industry experts covering technical, strategic, and operational topics.
  • Platform Access: Access to our proprietary technology platform enabling real-time collaboration, progress tracking, and resource sharing.
  • Token Consumption: Usage of platform tokens for accessing advanced features, AI-powered tools, analytics, and additional resources. Tokens are consumed as services are utilized.

The specific scope, duration, and intensity of the program are defined in your individual agreement or order confirmation upon purchase.

2.2 Digital Products & Consulting Services

TCC offers custom development services, strategic consulting, and digital product creation.

These services typically operate under a joint venture model where:

  • TCC provides technological expertise, development services, and marketing capabilities.
  • Partner organizations provide domain expertise, operational support, or market access.
  • Each project is governed by a separate statement of work (SOW) or project agreement outlining specific deliverables, timelines, and payment terms.

2.3 Service Customization

Both service offerings are heavily customized to Client requirements.

TCC will work with you to define exact scope, timeline, deliverables, and success metrics.

These details will be documented in your order confirmation, service agreement, or project SOW.


3. HOW SERVICES ARE CONTRACTED AND PURCHASED

3.1 Developer Success Program – Purchase Process

Single Purchase Model:

  • Customer selects the Developer Success Program from TCC’s website or through direct outreach.
  • Customer receives a detailed program overview including scope, duration, mentorship hours, and pricing.
  • Customer completes the purchase through our online payment system or via manual invoice processing.
  • Upon payment confirmation, Customer receives order confirmation detailing program start date, mentor assignment, and platform credentials.
  • Customer may cancel the program only before the mentorship period begins or platform access is activated. Once mentorship or platform access has commenced, the service is non-refundable.

3.2 Digital Products & Consulting – Purchase and Engagement Process

Initial Consultation

Customer initiates contact. TCC conducts a discovery meeting to understand goals, scope, and requirements.

Proposal & SOW

TCC prepares a Statement of Work (SOW) or Project Agreement detailing:

  • Project scope and deliverables
  • Timeline and milestones
  • Investment/pricing structure (fixed, milestone-based, or performance-based)
  • Ownership of intellectual property
  • Roles of TCC and partner organization

Execution Agreement

Both parties execute the SOW or Project Agreement.

Payment Terms

Invoicing follows the schedule outlined in the SOW (e.g., upfront deposit, milestone-based, or monthly retainer). Specific payment terms are negotiated per project.

Project Management

TCC assigns a dedicated project team and provides regular updates via agreed-upon communication channels.

3.3 Payment Methods

Accepted payment methods include:

  • Credit/Debit Cards (processed securely via our payment gateway)
  • Bank Transfer/ACH
  • Invoice-based payment (net terms negotiated per engagement)

4. SERVICE CONDITIONS AND LIMITATIONS

4.1 Developer Success Program Conditions

  • Program Commencement: The program begins on the date specified in your order confirmation. Mentor assignments are made within 5 business days of payment confirmation.
  • Token Consumption: Tokens are consumed upon use. Token balance is tracked in your platform dashboard. Once tokens are consumed, they cannot be refunded or exchanged for cash.
  • Mentor Availability: Mentors schedule sessions based on mutual availability. Sessions must be scheduled at least 48 hours in advance through the platform.
  • Platform Access: Access to the platform is provided for the duration of your program. Access terminates upon program completion or termination of this Agreement.
  • No Guarantees of Outcomes: While TCC commits to high-quality mentorship and expert guidance, outcomes (such as career advancement, funding, or business success) depend on Client effort, market conditions, and external factors beyond TCC’s control.
  • Intellectual Property: Any materials, frameworks, or tools created by the mentor specifically for your use during the program remain your property. However, general frameworks, templates, and methodologies used across our program are TCC’s intellectual property.

4.2 Digital Products & Consulting Conditions

  • Deliverables: Deliverables, timelines, and acceptance criteria are defined in the project SOW. TCC commits to delivering agreed-upon deliverables on schedule, subject to delays caused by Client non-responsiveness or scope changes.
  • Scope Changes: Any changes to project scope must be documented in writing and approved by both parties. Scope changes may impact timeline and cost.
  • Client Responsibilities:
    • Providing timely feedback and approvals
    • Supplying necessary data, content, and access credentials
    • Communicating scope changes promptly
    • Providing decision-makers for milestone reviews
  • Delays caused by Client non-responsiveness may extend project timelines.
  • Intellectual Property Ownership: TCC retains full ownership of all intellectual property created during the project, including but not limited to:
    • Source code, algorithms, and technical architecture
    • Design systems, UI/UX assets, and branding frameworks
    • Methodologies, processes, and know-how developed
    • Documentation, databases, and automation tools
  • Client receives a non-exclusive, perpetual license to use the deliverables for the purposes outlined in the SOW. Client may not redistribute, resell, or relicense the IP without prior written consent from TCC.
  • Third-Party Dependencies: If the project incorporates third-party libraries, frameworks, or services, those are licensed under their respective terms. TCC is not liable for third-party service failures or license violations.

5. CANCELLATION AND REFUND POLICY

5.1 Developer Success Program

  • Cancellation Before Program Start: If you cancel before your mentorship period begins or platform access is activated, you are entitled to a full refund of your program fee.
  • Cancellation After Program Start: Once your first mentorship session has been held or platform access has been activated, the service is non-refundable. No refunds or prorations are provided for unused mentorship sessions or remaining program duration.
  • Cancellation Request Process: To cancel, email support@thecodingcollective.net with your order number and request a cancellation. Cancellation is effective upon written confirmation from TCC.

5.2 Digital Products & Consulting

  • Cancellation Policy: Cancellation terms are defined in the project SOW.

Typically:

  • Cancellation before project start: Full refund of deposit
  • Cancellation after project start: Client remains responsible for work completed to date plus reasonable wind-down costs
  • Early termination: Governed by the termination clause in the SOW

No Refunds for Scope Completion: Once deliverables have been accepted, no refunds are provided.


6. PERSONAL DATA AND PRIVACY

6.1 Data Collection

TCC collects personal data from Customers and Users, including:

  • Name, email address, phone number
  • Professional background, skills, and experience
  • Educational history
  • Project work samples, code repositories, or portfolio information
  • Payment information (processed securely; TCC does not store full credit card details)
  • Usage data from our platform (login times, features accessed, engagement metrics)

6.2 Data Usage

TCC uses personal data for:

  • Delivering services and personalizing your experience
  • Mentor-Customer matching for the Developer Success Program
  • Project communication and collaboration
  • Billing and payment processing
  • Improving our platform and services
  • Sending newsletters, updates, and promotional communications (with opt-out options)
  • Compliance with legal obligations

6.3 Data Sharing

TCC does not sell personal data to third parties.

However, TCC may share data with:

  • Mentors and Team Members: Your data is shared with assigned mentors and project team members as necessary to deliver services.
  • Payment Processors: Payment information is shared securely with authorized payment processors.
  • Service Providers: Hosting providers, analytics tools, and communication platforms that assist in service delivery (all bound by confidentiality agreements).
  • Legal Requirements: If required by law or legal process, TCC may disclose data to law enforcement or regulatory authorities.

6.4 Data Security

TCC implements industry-standard security measures including encryption, secure authentication, and regular security audits.

However, no online system is 100% secure. You acknowledge that your use of our services carries inherent security risks.

6.5 Retention and Deletion

TCC retains personal data for the duration of our service relationship plus 3 years for legal and accounting purposes.

Upon written request, TCC will delete your personal data, except where retention is required by law.

6.6 Rights Under Privacy Laws

If you are in a jurisdiction with data protection laws (e.g., GDPR, CCPA), you have the right to:

  • Access your personal data
  • Correct inaccurate data
  • Request deletion of your data
  • Opt-out of marketing communications

7. USER CONDUCT AND RESTRICTIONS

7.1 Prohibited Conduct

Users agree not to:

  • Use our services for illegal purposes or in violation of any applicable law
  • Harass, threaten, or discriminate against mentors, team members, or other Users
  • Attempt to gain unauthorized access to our platform or systems
  • Reverse-engineer, decompile, or attempt to extract source code from our platform
  • Share login credentials or allow unauthorized access to your account
  • Use our services to develop competing products without written permission
  • Violate intellectual property rights of TCC or third parties
  • Spam, phishing, or malicious activities

7.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

TCC is not liable for unauthorized access caused by your failure to protect your credentials.


8. LIABILITY AND DISCLAIMERS

8.1 Limitation of Liability

To the maximum extent permitted by law, TCC’s total liability for any claim arising from this Agreement or your use of our services is limited to the amount you paid for the service in question in the 12 months preceding the claim.

8.2 Disclaimers

“As-Is” Services: Our services are provided on an “as-is” basis without warranties of any kind, express or implied.

No Warranties

TCC makes no warranty that:

  • Our services will meet your specific needs
  • Our services will be uninterrupted, error-free, or virus-free
  • Defects in our services will be corrected
  • Outcomes or results will be achieved (Developer Success Program, Digital Products, or Consulting)

Excluded Damages: TCC is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, or business interruption, even if TCC has been advised of the possibility of such damages.

8.3 Third-Party Services

Our platform may integrate with third-party services (e.g., APIs, cloud hosting, analytics).

TCC is not responsible for third-party service failures, data breaches, or terms of service violations.


9. INTELLECTUAL PROPERTY

9.1 TCC Intellectual Property

All intellectual property created by TCC—including software, platforms, methodologies, templates, frameworks, documentation, and content—is the exclusive property of TCC and is protected by copyright, trademark, and trade secret laws.

9.2 Customer Use License

Upon payment, Customer receives a non-exclusive, non-transferable, revocable license to use TCC’s services solely for your personal or business purposes as outlined in your service agreement.

You may not:

  • Sublicense, resell, or redistribute our services
  • Modify, reverse-engineer, or create derivative works
  • Remove copyright notices or proprietary markings

9.3 Digital Products – IP Ownership

TCC retains full ownership of all intellectual property developed during Digital Products and Consulting engagements.

This includes source code, designs, methodologies, and documentation.

Customer receives a perpetual, non-exclusive license to use deliverables for the agreed-upon purpose only.

9.4 Customer Content

Any content, data, or materials you provide to TCC remain your property.

However, you grant TCC a worldwide, royalty-free license to use, modify, and display your content solely for delivering services and improving our offerings (e.g., case studies, anonymized data analysis).


10. INDEMNIFICATION

You agree to indemnify and hold harmless TCC, its owners, employees, and agents from any claims, damages, or costs (including attorney fees) arising from:

  • Your violation of these Terms and Conditions
  • Your use of our services in violation of applicable law
  • Your infringement of third-party intellectual property rights
  • Your content or data provided to TCC

11. TERMINATION

11.1 Termination by TCC

TCC may terminate this Agreement immediately if:

  • You violate any material term of this Agreement
  • You engage in illegal or unethical conduct
  • You breach confidentiality or intellectual property provisions
  • Payment is not received within 30 days of invoice

11.2 Effect of Termination

Upon termination:

  • Your access to our services and platform is immediately revoked
  • You remain liable for any fees incurred and services delivered to date
  • Provisions regarding IP ownership, liability, and indemnification survive termination

12. CONFIDENTIALITY

12.1 Confidential Information

Both parties acknowledge that during service delivery, confidential information may be shared, including:

  • Project details, strategies, and methodologies
  • Customer data and business information
  • Technical specifications and system designs

12.2 Confidentiality Obligations

Both parties agree to:

  • Maintain confidentiality of shared information
  • Use confidential information solely for fulfilling obligations under this Agreement
  • Not disclose confidential information to third parties without written consent
  • Implement reasonable security measures to protect confidential information

12.3 Exceptions

Confidentiality obligations do not apply to information that is:

  • Publicly available or becomes public through no breach by the recipient
  • Required to be disclosed by law or legal process
  • Already known by the recipient prior to disclosure
  • Independently developed without reference to the other party’s information

13. DISPUTE RESOLUTION

13.1 Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles.

13.2 Jurisdiction and Venue

Both parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Sheridan, Wyoming.

You agree to submit to the personal jurisdiction of these courts.

13.3 Dispute Resolution Process

Before initiating legal proceedings:

  • Good Faith Negotiation: Parties will attempt to resolve disputes through good faith negotiation within 30 days.
  • Escalation: If unresolved, disputes may be escalated to senior management for mediation.
  • Litigation: If mediation fails, either party may pursue legal action in the courts of Wyoming.

13.4 Waiver of Jury Trial

Both parties waive the right to a jury trial in any legal proceeding arising from this Agreement.


14. MODIFICATIONS TO TERMS AND CONDITIONS

TCC reserves the right to modify these Terms and Conditions at any time.

Material changes will be communicated via email or by posting an updated version on our website with a revised “Last Updated” date.

Your continued use of our services after modifications constitutes acceptance of the revised terms.

If you do not agree with changes, you must discontinue use of our services and may cancel your service (subject to the cancellation policy in Section 5).


15. SEVERABILITY

If any provision of this Agreement is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will continue in full force and effect.


16. ENTIRE AGREEMENT

This Agreement, together with any exhibits, SOWs, project agreements, and order confirmations, constitutes the entire agreement between you and TCC regarding your use of our services.

This Agreement supersedes all prior negotiations, understandings, and agreements, whether written or oral.
